ON August 31th, 2023, JAVY held a seminar on corporate compliance at its Beijing headquarters, with Ding Yufang Esq. as the presenter. The seminar was joined by dozens of lawyers, as well as streamed online, with more than 1000 concurrent viewers and more than 60k online upvotes.
Ms. Ding focused her lecture on the following 5 aspects: 1. The definition & categories of corporate legal risks, 2. Risk prevention in establishing the corporation, 3. Internal governance of corporations, 4.Internal risk prevention in corporate operations, 5. External risk prevention in corporate operations.
As Ms. Ding pointed out, before establishing the corporation, the owner should know the difference and choose wisely between a limited company and a joint-stock company. She also analyzed the typical clauses in the articles of association, as well as legal risks in capital subscriptions and share allocations. After the incorporation phase, the owner should focus on internal governance which include the management of company seal, as well as the powers & duties of legal representative, executives, board of directors, board of supervisors, and protection of minority shareholder’s rights.
Ms. Ding also instructed on how to prevent legal risks in the company bylaws, human resource management, signing contracts, providing loans & securities, as well as investing. She answered numerous questions from the audience after the lecture, and her expertise on the topic was well received.
