On January 23rd, JAVY Law Firm organized the seminar "Practical Interpretation of Key Provisions of the New Company Law" at Building E2. Co-hosted by Executive Director Ge Youshan Esq. and Senior Partner Zhang Li Esq., the event was broadcast live via JAVY Law Firm's video platform.
Mr. Ge commenced by drawing inspiration from classic tales like Jiang Ziya's three great treasures and the Monkey King's transformations, emphasizing the importance of legal expertise within ethical boundaries. He provided a comprehensive analysis of the new Company Law's amendments, dissecting its provisions and offering practical insights for lawyers dealing with corporate legal affairs.
Specifically, Mr. Ge highlighted the protection of small and medium-sized shareholders and the optimization of corporate governance systems, enriching lawyers' perspectives and strategies.
Following Mr. Ge's insights, Mr. Zhang delved into the "Surplus Distribution System in the Context of the New Company Law," using the Ji Brothers' equity lawsuit, rejudged by the Supreme Court, as a case study. He evaluated the law's impact on commercial disputes through 23 case analyses, including disputes over shareholders' qualifications, company resolutions, surplus distribution, capital increase, and liquidation liability.
Mr. Zhang's discussion on judicial compulsory profit distribution claims, exemplified by a nine-year case involving surplus distribution, showcased practical legal strategies and the nuanced application of the new Company Law. His in-depth analysis provided valuable guidance to lawyers navigating similar legal challenges.
The seminar, attended by over 500 lawyers both in-person and online, received enthusiastic participation and fostered a focused learning environment. Attendees praised the seminar's comprehensive approach, practical insights, and its contribution to their understanding of the new Company Law's complexities, providing valuable theoretical and practical guidance for their legal work.
